Doing Business in Uganda: the Costs and Rules

What it actually costs to set up and run a business in Uganda as a foreign firm or returning diaspora operator, and the rules that catch newcomers out.

The short answer

Doing business in Uganda starts cheap on paper and gets expensive through staff and tax, not registration. A business name costs UGX 90,000 at URSB and a private company from UGX 105,000 plus 0.5% stamp duty on share capital; a Tax Identification Number is free. The costs that actually shape a budget are NSSF at 15% of gross pay from your first employee, corporate income tax at 30% once turnover passes UGX 150,000,000 a year, VAT registration once turnover passes UGX 300,000,000, and a trading licence assessed by trade and area, from about UGX 6,000 a year for a small kiosk to UGX 600,000 for a pharmacy in the top grade.

The rules that catch newcomers out are EFRIS, which now requires e-invoices or e-receipts from every VAT-registered business and from 12 named sectors regardless of VAT status, and the local-content rule in oil and gas, which forces a foreign firm without a Ugandan supplier to joint-venture with a Ugandan company holding at least 48% of the shares. Presumptive tax, meanwhile, is nil until turnover passes UGX 10,000,000 a year, so a genuinely small operation carries almost no income tax at all in its first months. For the registration steps themselves, see cost-of-registering-a-business-in-uganda.

The rules that surprise a new operator

EFRIS non-compliance got a sharper penalty from 1 July 2026: double the tax due, or UGX 200,000, whichever is higher, replacing the old fixed penalties of UGX 6,000,000 to 8,000,000. That is a lower ceiling in the worst cases and a real cost in ordinary ones, so treat EFRIS as a day-one system, not a fix for later. See efris-uganda-guide for the sectors and turnover bands it applies to.

If your business pays a foreign parent or supplier for software, a brand licence or other intellectual property, that payment now counts as a royalty and carries a 15% withholding tax on the gross amount, effective 1 July 2026. URA-designated large taxpayers and government agencies must also withhold VAT from a VAT-registered supplier once a purchase passes a set value, commonly reported as 6% on purchases above UGX 1,000,000 though we could not confirm the exact rate and threshold on a URA page, unless the supplier issues an EFRIS e-invoice or e-receipt, in which case the withholding no longer applies from 1 July 2026.

Stamp duty on property transfers, including land and business-sale agreements, is reported to have doubled from 1.5% to 3% from 1 July 2026 under one source, though a second guide's own transfer-duty figure was not clean enough to cross-check, so confirm the current rate with URSB or your advocate before you price a transfer.

Staff, rent and utilities

Staff cost more than the tax system alone suggests. On top of the 15% total NSSF contribution (10% from the employer), employers deduct and remit local service tax from each employee's pay, UGX 5,000 to UGX 100,000 a year depending on their monthly income, due by 31 October with a steep 50% penalty for missing that date. From 1 July 2026 the PAYE tax-free threshold rose to UGX 335,000 a month, so an employee earning at or below that pays no PAYE at all. Uganda's only statutory minimum wage is UGX 6,000 a month, set in 1984 and never revised, so it is not a real constraint on pay; market rates, not the legal minimum, set what you actually pay. Reported casual labour rates run about UGX 10,000 to UGX 25,000 a day, and skilled construction trades higher, though we could not verify these against a primary wage survey, so treat them as a starting point to negotiate from, not a fixed rate.

Premises cost varies by location more than by anything else. Suburban Kampala shop listings in September 2026 ran from about UGX 250,000 to UGX 500,000 a month, rising to around UGX 2,000,000 for a larger or better-placed suburban unit, while one reported downtown arcade case saw rent rise from UGX 700,000 to UGX 4,000,000 a month, a single reported figure we could not independently verify. Commercial electricity averaged UGX 562.1 per kWh in the July to September 2026 tariff period, reviewed every quarter by the Electricity Regulatory Authority, so check the current quarter's rate before you budget a power bill.

Banking, local partners and what else changed

Opening a local bank account needs the same documents as registering the business: your certificate of incorporation or business name registration and your TIN. Uganda's economy also runs heavily on mobile money alongside banking, and from 1 July 2026 a new 10% final withholding tax applies to commissions telecom and mobile money agents earn, worth knowing if any part of your business touches that channel.

For sector or district relationships you do not have yet, a joint venture or local partner is often faster than building the relationship from nothing, and it is close to compulsory in oil and gas, where a Ugandan partner must hold at least 48% of the joint venture. See local-partner-in-uganda for how that works, and uganda-tax-changes-2026 for the fuller list of what changed this year beyond what fits on this page.

We are building our consultancy and market-entry support practice now, and we will not claim clients or assignments we have not had. What we can show is real: 37 live website and app builds, our own live products including Growth Informer Business and Moyo Pay, and our own registration with URA as a tax agent, which means we can set up EFRIS and VAT on your own systems, file returns, and represent you if a penalty or assessment lands, all quoted after we see your notice or books rather than priced in advance. If your business is coming in from outside Uganda specifically, the licence and land path sits on investing-in-uganda-as-a-foreigner.

Frequently asked questions

What is the ease of doing business in Uganda?

We do not have a current, sourced ease-of-doing-business ranking to quote here. What we can tell you is what registration, tax and licensing actually cost and take: from UGX 90,000 to register a business name, free TIN, and a trading licence assessed by trade and grade, set out in full on this page.

What is the cost of doing business in Uganda?

Registration itself is cheap: UGX 90,000 for a business name, from UGX 105,000 plus stamp duty for a company. The real costs are NSSF at 15% of gross pay per employee, corporate tax at 30% above UGX 150,000,000 turnover, VAT above UGX 300,000,000, and a trading licence from UGX 6,000 to UGX 600,000 a year by trade and grade.

Why is doing business in Uganda important right now?

Government's own Fourth National Development Plan treats private investment as central to its Tenfold Growth Strategy, targeting a roughly ten-times larger economy by 2040. For an individual business, the more useful question is whether the specific numbers on this page work for your model, not a general case for investing.

What is Uganda's business environment like in 2026?

A growing pipeline (NDP IV, oil and gas construction, industrial parks) sits alongside tighter digital tax administration through EFRIS and a set of tax rule changes that took effect on 1 July 2026. Staff and premises costs, not registration, are usually what surprise a new operator most.
